water resource and infrastructure company. The firm owns operating and new-
build supply, treatment, and utility assets to address increasingly acute
water scarcity, pollution, and aging infrastructure. Upwell Water is one of
the fastest growing companies in the $1 trillion industry. Backed by Crestview
Partners and other leading institutional investors, the firm anticipates
deploying $1 billion near-term toward its mission of ensuring a sustainable
water future.

**Opportunity**

Co-lead legal activities and key company operations.

External responsibilities include both managing outside counsel and leading
transactions, such as structuring, negotiating, and documenting asset
purchases and financing, and private equity and debt instruments, as well as
negotiating a wide range of commercial contracts.

Internal responsibilities include HR matters, internal compliance, and general
operations.

We're looking for a proven attorney with an entrepreneurial and operational
mindset.

**Requirements**

Must have minimum senior associate level experience at a top corporate law
firm with experience leading equity, debt, asset purchase and M&A
transactions.
Special expertise in real assets (e.g. renewables) or tax is a big plus but
not required. We would also consider a do-it-all litigator if she or he also
had experience in general corporate or corporate finance matters. Must be
happy actually executing legal work (as opposed to just farming out to outside
counsel), and being intricately involved in deals. Positive, high energy, not
above anything, but able to face off against C-level counterparties at public
and private firms.

Water experience is not necessary.

San Francisco is preferred, but NY and other locations will be considered.
