Position Overview:
We are seeking a highly skilled and experienced General Counsel to oversee all
legal matters for our fast-growing neobank startup. This position plays a
crucial role in guiding the company's strategy and ensuring compliance with
laws, regulations, and internal policies. The General Counsel will be
responsible for providing expert legal advice in various domains including
fintech, employment law, intellectual property, and corporate governance.
Key Responsibilities:
* Regulatory Compliance: Ensure that the company complies with all local, state, federal, and international laws relevant to fintech and banking.
* Legal Advice: Provide expert legal advice to the executive team and various departments, thereby aiding in decision-making.
* Contract Negotiation and Drafting: Prepare, review, and negotiate a wide range of agreements including vendor contracts, employment agreements, and partnership agreements.
* Litigation Management: Represent the company in legal proceedings, manage external counsel, and coordinate the company’s legal defense as necessary.
* Intellectual Property: Safeguard the company's intellectual assets by managing patents, trademarks, and copyrights.
* Corporate Governance: Assist in board meetings, shareholder communications, and ensure that the company meets its governance obligations.
* Risk Assessment: Proactively identify legal risks and create mitigation strategies.
* Internal Policies: Develop, implement, and enforce internal legal policies and procedures.
* M&A Activity: Provide legal guidance during mergers and acquisitions, due diligence, and other corporate structuring activities.
* Employee Training: Educate staff on legal matters, compliance, and potential risk areas.
