**What we 're looking for**
Saltbox is seeking an in-house counsel interested in the opportunity to lead
all legal aspects at a high growth startup. This is an opportunity to
interface with a wide variety of strategic legal and business matters with
direct reporting to the CEO. As Senior Counsel, you will be responsible for
all aspects of commercial contracting, including deal structuring and
drafting, review, and negotiation of contracts. You will also be integral to
providing legal support to a wide range of Saltbox’s internal customers and
developing scalable infrastructure to help Saltbox achieve its goals in a time
of dynamic growth. You should have direct experience dealing with complex,
significant matters that cut across legal and related areas and specific
experience in real estate or corporate transactions. You must be
intellectually curious, a stellar communicator and problem-solver, and
passionate about working in a high-growth, entrepreneurial environment.
This position is remote, with 5-10% of time for travel required.
**Responsibilities**
As Senior Counsel, you will have the following responsibilities:
* Efficiently manage and engage in a wide range of legal matters, including commercial agreements, entity formation and management, HR/employment, real estate, construction, dispute resolution, and daily reactive and proactive legal needs.
* Assist with key company strategic initiatives, including extraordinary transactions such as equity and debt financings and mergers and acquisitions.
* Coordinate with outside counsel on real estate finance, acquisition and other real estate transactions as well as general corporate transactions.
* Perform due diligence in connection with real estate and corporate transactions.
* Advise and counsel various company teams, such as operations, finance, HR, real estate, construction, and IT/digital, on legal risks and negotiation strategy, answering questions and making recommendations for best practices and processes.
* Assist with management of the company’s real estate portfolio, addressing issues as they arise and drafting and negotiating applicable attendant documents such as SNDAs, guaranties, letters of credit, estoppel letters, and amendments.
* Assist with Board and Committee minutes and organizational documents and oversee the initial production of draft minutes.
* Work with teams across Saltbox on corporate policies, processes, and training.
* Counsel relevant Saltbox team members on key agreement terms, facilitate a smooth relationship between internal location teams and real estate partners
**Requirements**
To be considered for the Senior Counsel position, you must have:
* 4-7 years of legal experience with a focus on real estate or corporate transactions, of which at least two years must be as in-house counsel in a startup or other dynamic environment
* Ability to demonstrate sound judgment in ambiguous situations, with a strong attention to detail
* Holds a JD (required) and has been admitted to the bar, with a license to practice law in at least one US state.
* Ability to work independently while being able to contribute successfully to cross-functional teams.
* Ability to lead the entire deal negotiation process all the way through execution
* Excellent organizational skills, ability to manage multiple projects at once, follow through, and meet deadlines.
* Growth-minded, collaborative, and able to work on a variety of legal matters outside of your immediate area of substantive expertise.
