experienced & strategic General Counsel to join us as an independent
contractor, overseeing & managing all legal matters for our dynamic agency.
**Position Overview** :
The General Counsel (GC) will act as the chief legal advisor for PasciVite on
a contract basis, responsible for managing legal affairs and ensuring
compliance with laws and regulations. This role involves providing legal
guidance to support the agency’s strategic goals, particularly in marketing,
security, & production.
**Key Responsibilities** :
* **Legal Management** :
* Provide comprehensive legal advice on all aspects of the agency’s operations.
* Develop & implement legal strategies aligned with business goals.
* **Litigation & Dispute Resolution**:
* Oversee & manage litigation, collaborating with external counsel as needed.
* Develop strategies for dispute resolution & risk management.
* **Contract Negotiation & Drafting**:
* Review, negotiate, & draft contracts related to marketing, security, & production services.
* Ensure contracts align with legal standards & business objectives.
* **Compliance & Risk Management**:
* Ensure compliance with data protection laws, marketing regulations, & security standards.
* Implement policies & procedures to mitigate legal risks.
* **Corporate Governance** :
* Advise on corporate governance, including board meetings & corporate resolutions.
* Manage corporate filings & documentation.
* **Employment Law** :
* Provide guidance on employment contracts, workplace policies, & employment disputes.
* Support HR in addressing employment practices & employee relations.
* **Intellectual Property** :
* Manage IP matters including trademarks, copyrights, & licensing agreements.
* Protect the agency’s creative assets & handle IP-related disputes.
* **Strategic Advice** :
* Collaborate with senior management on strategic initiatives & provide legal insights to support business decisions.
**Qualifications** :
* **Education** : Juris Doctor (JD) degree from an accredited law school.
* **Licensure** : Admitted to practice law in the state of California.
* **Experience** : Minimum of 10 years of experience in a legal role, with expertise in litigation, business law, intellectual property, & employment law. Experience in media, marketing, or creative industries is highly desirable.

* Expertise in litigation management, contract negotiation & drafting, IP law, employment law, & data protection.
* Strong negotiation, drafting, & communication skills.
* Proven ability to manage complex legal matters & work with cross-functional teams.

**Compensation** :
* **Contract Rate** : Competitive hourly or project-based rate, ranging from $200 to $350 per hour, depending on experience and scope of work.
* **Contract Terms** : This is a contractor position, so benefits are not included. The role will be governed by a contract agreement outlining specific terms, responsibilities, and deliverables.
